PLEASE CAREFULLY READ THESE TERMS OF SERVICE BEFORE REGISTERING FOR AN OMNI LOANS ACCOUNT OR APPLYING FOR ANY PRODUCT OR SERVICE. THESE TERMS ARE A BINDING CONTRACT THAT GOVERNS USE OF OMNI LOANS' PRODUCTS AND SERVICES.

BY REGISTERING FOR AN OMNI LOANS ACCOUNT OR APPLYING FOR A PRODUCT OR SERVICE, YOU ACKNOWLEDGE AND SIGNIFY THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT USE OUR PRODUCTS OR SERVICES.

1. Your Acceptance of These Terms

Omni Loans Inc. ("Omni Loans", "we", "us" or "our") operates the website omniloans.ca (the "Website") that advertises or accepts orders for various products and services, such as personal loans, credit building and other financial products (collectively "Products and Services"). These Terms are a binding agreement between you and Omni Loans regarding your registration for an account (an "Account"), your applications or orders for Products and Services and your use of each Product or Service. By registering for an Account or applying for a Product or Service, you signify your unconditional acceptance and agreement to the most current version of these Terms.

2. Other Agreements

Your use of the Website is subject to the terms outlined herein. If there is a conflict between these Terms and any product-specific agreement, the product-specific agreement will take priority regarding that product, and these Terms will take priority regarding all other matters.

3. Changes to These Terms

Omni Loans may change these Terms at any time without prior notice by posting the updated Terms on the Website. Changed Terms are effective immediately on posting. It is your responsibility to check the "Last Updated" date and review any changes. By continuing to use our services after changes are posted, you accept the updated Terms.

4. Permitted Customers

Products and Services may be ordered and used only by individuals who are located in Canada, are at least 18 years of age (or the age of majority in their province), and are capable of forming a binding contract under applicable law. Products and Services may not be ordered or used by individuals located outside Canada. Omni Loans reserves the right to refuse applications or orders from any person at its discretion.

5. Permitted Use of Products and Services

You may use Products and Services for your own lawful, personal use for non-commercial purposes only and subject to these Terms and all applicable laws. Use of a Product or Service for any other purpose or in any other manner is strictly prohibited.

6. Accounts and Credentials

Your Account and credentials are personal to you and may not be shared with any other person. You are fully responsible for maintaining the confidentiality of your Account and credentials and for all use and misuse thereof. You will immediately notify Omni Loans at support@omniloans.ca if there has been any unauthorized use of your Account. Omni Loans may cancel or suspend your Account at any time without notice or liability.

7. Accurate Information

You will ensure that all information you provide to Omni Loans is true, accurate, current and complete, and you will update that information as needed. Omni Loans will rely on the information you provide and is not obligated to verify its accuracy, though it may do so at its discretion. You are responsible for all loss or liability resulting from false, incorrect or incomplete information.

8. Personal Information, Privacy and Credit Reports

By registering for an Account or applying for a Product or Service, you consent to the collection, use, disclosure and retention of your personal information as explained in our Privacy Policy. When you apply for certain Products or Services, we may obtain your credit score and related information from a credit reporting agency to process the transaction and update your profile. Submitting an application does not affect your credit score — a full credit check is only performed if you choose to proceed with a loan offer.

9. Transactions

Omni Loans endeavors to provide current and accurate information on the Website, but errors may occasionally occur. We reserve the right to correct any errors at any time without prior notice. Products and Services advertised may not be available at all times. Your completed application constitutes your offer, which is deemed accepted when Omni Loans confirms acceptance. We reserve the right to refuse or cancel any order at our discretion.

10. Bank Verification

When you use our bank account verification system, we may retrieve your bank account information including transaction history for purposes set out in our Privacy Policy. We will not store your banking login credentials. The bank verification system is managed by our financial technology partners under strict security protocols. You must review your financial institution's agreements to confirm your use of the bank verification system is permitted.

11. Technical Requirements

You are solely responsible for obtaining and maintaining all equipment, software and services necessary for your use of your Account, Products and Services. Electronic communications may be subject to standard message and data rates charged by your service providers.

12. Monitoring and Communications

Omni Loans reserves the right to monitor your use of your Account for quality assurance, training, compliance and security purposes. You authorize Omni Loans to accept communications received through your Account as if given directly by you. We may monitor and record telephone and chat conversations for accuracy and quality assurance.

13. Proprietary Rights

Products and Services, the technologies and data used to provide them, and all related proprietary rights are owned solely by Omni Loans and its licensors and are protected by Canadian and international intellectual property laws. Your use of a Product or Service does not transfer any right, title or interest to you.

14. Permitted and Prohibited Use of the Website

You may use the Website for your lawful, personal, non-commercial purposes only. You will not:

•Use the Website for any commercial or business purpose

•Attempt to circumvent security or access restricted areas

•Interfere with or disrupt the Website's functionality

•Copy, reproduce, distribute, or create derivative works from Website content

•Use robots, spiders, crawlers or other automated tools to collect data

•Remove or alter any proprietary notices or security measures

•Authorize or assist any other person in doing any of the foregoing

15. Referred Businesses and Linked Sites

Omni Loans has no responsibility or liability for those websites, businesses, their products or services, or their collection of your personal information. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS AND SERVICES AND THE WEBSITE ARE PROVIDED ON AN "AS IS", "AS AVAILABLE" AND "WITH ALL FAULTS" BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES, CONDITIONS OR GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. NO REPRESENTATIONS, WARRANTIES, CONDITIONS OR GUARANTEES WILL BE CREATED BY ANY ADVICE OR INFORMATION PROVIDED BY OMNI LOANS.

17. Liability Exclusions and Indemnity

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OMNI LOANS WILL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY LOSS, DAMAGE OR LIABILITY (INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL AND PUNITIVE DAMAGES) ARISING FROM YOUR USE OF, OR INABILITY TO USE, ANY PRODUCT, SERVICE OR THE WEBSITE.

YOU WILL DEFEND, INDEMNIFY AND HOLD HARMLESS OMNI LOANS FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, COSTS, EXPENSES, CLAIMS AND LIABILITIES ARISING FROM YOUR USE OF A PRODUCT OR SERVICE OR YOUR BREACH OF THESE TERMS.

18. Termination

These Terms will continue in full force unless and until you cease using all Products and Services. Omni Loans may change, suspend or terminate the Website or your access at any time without notice. These Terms will continue to apply regarding your use before termination.

19. Governing Law

Omni Loans has its head offices in Calgary, Alberta. These Terms and all related matters are governed by the laws of the Province of Alberta, Canada and applicable federal laws of Canada.

20. Disputes

Unless applicable law requires otherwise, all disputes arising under these Terms will be referred to binding arbitration in Calgary, Alberta. You will commence legal proceedings regarding a dispute within twelve (12) months after the dispute arises, after which time any proceedings will be barred.
